1. Service Description & Beta Status

1.1. Purpose of VentureTango

VentureTango is an online platform that provides AI-powered tools to help users generate, structure, evaluate, and refine business ideas. Our features may include:

• Idea Generation: AI suggests potential business concepts based on user input, market trends, or other data sources.
• Market Analysis & Competitive Intelligence: Automated research on industry trends, competitors, potential customers, etc.
• Business Model Canvas or Other Strategic Frameworks: Software-assisted templates to structure your venture.
• Evaluation Mechanisms & Roadmap Creation: AI-based assessments of feasibility, funding options, or development phases.
• Collaboration Features: Options to share your ideas with team members, mentors, or other authorized users on the platform (if available and activated by you).

1.2. Beta or Early Stage

VentureTango is currently in a public beta or early stage. This means:

• Potential Errors or Outages: The Service may exhibit bugs, performance issues, or unexpected behavior.
• Features in Development: Features may be added, modified, or removed without notice.
• No Guaranteed SLA (Service-Level Agreement): We strive for high availability but cannot guarantee a specific uptime percentage.
• Data Changes: In rare cases, data migration, system architecture changes, or necessary corrections may result in user content being lost or modified. We strongly recommend backing up important data externally on a regular basis.

By using VentureTango, you accept these limitations and hold us harmless for technical failures or malfunctions resulting from the beta status.

2. Eligibility & Account Registration

2.1. Age and Legal Capacity Requirements

You must:

• Be at least 18 years old (or the age of majority in your jurisdiction),
• Be legally capable of entering into a binding contract.

If you are acting on behalf of a legal entity (e.g., a company), you warrant that you have the appropriate authority to bind that entity to these Terms.

2.2. Account Information

During registration, you will be asked to provide truthful and current information (e.g., email address, name, phone number). You agree to:

• Keep your login credentials confidential.
• All activities on your account are your responsibility.
• Notify us immediately at [email protected] if you suspect unauthorized use.

2.3. One Account Per User

Each user may only maintain one account unless we have provided written approval otherwise. Multiple accounts created to circumvent restrictions or for abusive purposes may be deleted without notice.

3. How AI Works on VentureTango

3.1. Basis of AI Output

The suggestions, analyses, frameworks, and other content that VentureTango generates are created by Large Language Models (LLMs) and other machine learning algorithms. These algorithms process:

• Your Inputs: Descriptions of your idea, target market, location, budget, etc.
• Publicly Available Data: Articles, reports, historical market data (if we integrate such sources).
• Proprietary Training Data (if any): Curated datasets or system logic that improve our AI.

3.2. No Guarantee of Completeness or Originality

AI-generated results:

• Are only as good as the training data on which the model is based.
• May contain outdated, incomplete, or incorrect information.
• May generate similar ideas or phrases for different users, as the algorithms recognize patterns in data.
• Could inadvertently reproduce copyrighted language or concepts (we make commercially reasonable efforts to prevent this, but cannot absolutely guarantee it).

You are responsible for verifying any AI-generated output for accuracy, legality, and novelty before going public or using it commercially.

3.3. Prompt Engineering & Data Quality

The quality of output depends heavily on your inputs:

• Clear, detailed information (e.g., product description, target audience) generally leads to better results.
• Vague, contradictory, or incomplete inputs may result in generic or irrelevant suggestions.

We provide tips and best-practice guidance within the Platform, but you are responsible for formulating your data and descriptions as accurately as possible.

4. No Warranties / Disclaimer of Accuracy

4.1. "As-Is" Provision

VentureTango is provided "as-is" and "as-available", without warranties of any kind, either express or implied, including but not limited to:

• Merchantability,
• Fitness for a particular purpose,
• Non-infringement of third-party rights,
• Error-free or uninterrupted availability.

4.2. Inaccuracy & Errors in AI Outputs

We do not guarantee:

• That AI-generated information (business models, market analyses, financial projections, etc.) is accurate, current, or complete.
• That content is free from errors, bugs, or inconsistencies.
• That the Platform or its features will be available at all times, uninterrupted, or free from viruses or harmful code.

4.3. Your Responsibility

You are responsible for:

• Validating all information through your own research or professional consultation.
• Determining whether a proposed business concept or market approach is suitable for your situation.
• Verifying legal, tax, regulatory, or financial feasibility with qualified professionals.

We assume no liability for losses or damages arising from your reliance on VentureTango-generated data.

5. No Guarantee of Success / No Professional Advice

5.1. No Guarantee of Business Success

Using VentureTango does not guarantee that:

• Your business idea will be successful or profitable.
• You will receive investments or funding.
• Your product or service will find a market.
• Strategic recommendations or evaluations will prove correct.

Business success depends on numerous factors (market, timing, execution, competition, legal environment, etc.) that are beyond our control and predictive capability.

5.2. No Financial, Legal, or Other Professional Advice

VentureTango and its AI output:

• Do not constitute legal, tax, investment, or other professional advice.
• Do not replace an attorney, tax advisor, certified accountant, or financial advisor.
• Are not a substitute for your own due diligence, market research, or business planning.

If you need to rely on legal, tax, financial, or other specialized advice, please consult a licensed professional.

6. User Obligations & Acceptable Use

6.1. Your Commitments

By using VentureTango, you agree to:

• Use the Platform only for lawful purposes.
• Comply with all applicable local, national, and international laws.
• Not upload or transmit any content (text, images, files) that:
  • Violates third-party rights (copyright, trademark, trade secrets, etc.).
  • Is defamatory, obscene, threatening, harassing, hateful, or otherwise objectionable.
  • Contains viruses, malware, or other harmful elements.
  • Promotes fraudulent or misleading information.
• Not:
  • Attempt to hack, decompile, or reverse-engineer the Platform or VentureTango's infrastructure.
  • Use automated tools (bots, scrapers) to collect data or manipulate the Service, unless explicitly permitted by us.
  • Engage in behavior that impairs our servers, systems, or the user experience of other users (e.g., DDoS attacks).
  • Impersonate another person or entity.
  • Circumvent security measures (e.g., access controls, encryption).

6.2. Submission of User Data

When you submit descriptions, ideas, documents, or other information to VentureTango ("User Submissions"), you warrant that:

• You have all necessary rights to this content.
• You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, and analyze this content solely for the purpose of providing and improving our Service (e.g., to operate AI models or improve product quality).
• We will treat your inputs confidentially and use them only in accordance with our Privacy Policy. We do not sell your User Submissions to third parties and do not use them to develop competing products against you.

7. Intellectual Property Rights

7.1. Our Rights

All rights, title, and interest in the VentureTango Platform (including software, design, architecture, logos, trademarks, trade secrets, algorithms, and proprietary data) remain with Tecsteps GmbH or our licensors. You receive no transfer of ownership or intellectual property rights, except for the licenses expressly granted herein.

7.2. License to Use the Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to use VentureTango in accordance with these Terms, as long as your account is active and in good standing. This license does not allow you to:

• Copy, modify, distribute, sell, or license parts of the Platform.
• Create derivative works or reverse-engineer the underlying software.
• Use our trademarks, logos, or names without our prior written consent.

7.3. Ownership of Content You Generate

We make no claim of ownership to the business ideas, concepts, or strategies you generate using our AI tools, provided you developed them yourself or created them through AI under your guidance.

However:

• Certain frameworks, templates, or market analysis reports generated by VentureTango may be based on sources or methods that are copyrighted or otherwise protected. You are responsible for determining whether further use infringes third-party rights.
• If the AI output contains language phrases, concepts, or ideas that already exist elsewhere, you cannot acquire exclusive rights to them solely through the use of VentureTango.
• If you intend to file for trade secrets, patents, or trademarks based on your AI results, you should seek legal advice to clarify potential conflicts or limitations.

8. Third-Party AI Services & International Data Transfers

8.1. Use of Third-Party AI APIs

VentureTango may use AI models or APIs from third parties (e.g., OpenAI, Google Gemini, Anthropic Claude, xAI Grok, Perplexity AI, or others) to generate text, analyze data, or access external data sources. When we use such services:

• Your inputs (prompts) may be forwarded to these third-party providers to generate responses.
• These providers may have their own privacy and usage policies that are independent of ours.
• We take commercially reasonable measures to ensure these providers comply with data protection laws (e.g., GDPR-compliant Standard Contractual Clauses), but cannot be liable for their internal practices or data breaches.

8.2. International Data Transfer

Because our AI partners may operate servers outside the European Union or your home country (e.g., in the USA), your inputs may be transferred internationally. We use Standard Contractual Clauses (SCCs) or other legally recognized mechanisms, where required, to ensure an adequate level of data protection.

8.3. Third-Party Links & Integrations

VentureTango may contain links to third-party websites or tools (e.g., market research databases, business intelligence platforms). We are not responsible for:

• The content, availability, or privacy practices of these external websites or services.
• Any transactions or interactions you have with these third parties.

We recommend reading their terms of service and privacy policies before submitting personal data.

9. Content Moderation & Removal Rights

9.1. Our Right to Moderate

We reserve the right, at our sole discretion:

• To review, monitor, or moderate User Submissions.
• To remove or edit content that violates these Terms or that we deem inappropriate, harmful, or illegal.
• To suspend or terminate accounts engaged in abuse, spam, harassment, or illegal activities.

However, we are not obligated to monitor user content, and assume no responsibility for ensuring that User Submissions are error-free, appropriate, or lawful.

9.2. Third-Party Rights & DMCA Procedures

If you believe that content uploaded to VentureTango infringes your copyright or other rights, please contact us immediately at [email protected] with:

• A description of the allegedly infringed work.
• An indication of where the allegedly infringing material is located.
• Your contact information.
• A sworn statement about the accuracy of your claim.

We will process reports in accordance with applicable law (e.g., DMCA in the USA or corresponding EU directives).

10. Privacy, Data Protection & Your Rights

10.1. Privacy Policy

Your use of VentureTango is subject to our Privacy Policy, which is part of these Terms of Service. It explains:

• What personal data we collect (e.g., email, name, usage data).
• How we use this data (e.g., to provide the Service, improve AI, provide support).
• With whom we share data (e.g., third-party AI APIs, hosting providers).

If you are located in the European Union, you may have the following rights, among others:

10.3. Data Retention

11. Service Availability & Changes

11.1. Maintenance & Downtime

We strive to keep VentureTango available at all times, but cannot exclude scheduled or unscheduled downtime for:

• Routine maintenance.
• Emergency fixes or security updates.
• Infrastructure upgrades.

We are not liable for losses or damages arising from such downtime.

11.2. Feature Changes

We reserve the right to add, modify, or remove features, integrate new AI models, or change the user interface to improve the Service. We attempt to announce important changes in a timely manner, but are not obligated to provide advance notice, especially for minor updates.

11.3. Service Discontinuation

Should we decide to discontinue VentureTango, we will make reasonable efforts to inform you in advance and give you the opportunity to export your data. However, we are not liable for costs or damages resulting from the termination of the Service.

12. Limitation of Liability

12.1. No Liability for Indirect Damages

To the extent permitted by law (and subject to mandatory statutory provisions, especially in Germany and the EU), we are not liable for:

• Indirect, incidental, special, or consequential damages (e.g., lost profits, data loss, business interruption) arising from your use or inability to use VentureTango.
• Damages resulting from reliance on AI-generated content.
• Losses due to service availability issues, bugs, or errors.

12.2. Liability Cap at Fees Paid

Our total liability to you for all claims arising out of or relating to these Terms or your use of VentureTango is limited to the greater of (a) €100 or (b) the amount you paid us in the last 12 months (if applicable).

12.3. Mandatory German/European Law

Under German/European law, certain liability exclusions or limitations may not apply, particularly in cases of:

• Intent or Gross Negligence: We are fully liable for damages caused intentionally or through gross negligence.
• Personal Injury or Health Damage: Liability cannot be excluded.
• Warranties or Essential Contractual Obligations: Liability limitations may be more restricted in case of breach of essential contractual obligations (cardinal obligations).

In such cases, statutory provisions apply. Nothing in these Terms is intended to affect your statutory consumer rights.

13. Term & Termination

13.1. Term

These Terms remain in effect as long as you have an active account or use VentureTango.

13.2. Termination by You

You may terminate your account at any time by:

• Using the "Delete Account" option in your account settings (if available), or
• Contacting us at [email protected].

After termination, we may delete your data in accordance with our Privacy Policy, unless there are legal reasons for further retention.

13.3. Termination by Us

We may suspend or terminate your account or access to VentureTango with or without notice if:

• You violate these Terms.
• We have reasonable suspicion of fraudulent, abusive, or illegal activities.
• We discontinue or significantly change the Service.

We will attempt to notify you in advance where possible, but are not obligated to do so, especially when there are legal or security concerns.

13.4. Consequences of Termination

After termination:

• Your right to use VentureTango ends.
• We may delete your User Submissions and account data (subject to legal retention obligations).
• Any liability or obligation that arose prior to termination remains in effect.

14. Governing Law & Dispute Resolution

14.1. Governing Law

These Terms of Service are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer residing in another EU country, you may also rely on mandatory consumer protection provisions of your home country, to the extent they are more favorable.

14.2. Jurisdiction

For disputes arising out of or in connection with these Terms:

• If you are a business, the exclusive place of jurisdiction is the registered office of Tecsteps GmbH (Bernau, Germany).
• If you are a consumer, you may also sue or be sued at your place of residence, in accordance with statutory provisions.

14.3. Online Dispute Resolution (ODR Platform)

The European Commission provides an Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr. We are not obligated and currently not willing to participate in a dispute resolution procedure before a consumer arbitration board, unless required by law.

15. Miscellaneous

15.1. Severability

If any provision of these Terms is found to be invalid, void, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the original provision.

15.2. Entire Agreement

These Terms of Service (together with our Privacy Policy and any other policies referenced herein) constitute the entire agreement between you and Tecsteps GmbH regarding VentureTango and supersede all prior or contemporaneous oral or written agreements.

15.3. No Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time, e.g., in connection with a merger, acquisition, or sale of assets.

15.4. Waiver

If we fail to enforce a right or provision of these Terms, it does not constitute a waiver of that right or provision. A waiver is only effective if it is in writing and signed by us.

15.5. Force Majeure

We are not liable for delays or failure to perform our obligations due to circumstances beyond our reasonable control (e.g., natural disasters, war, terrorism, labor disputes, pandemics, failure of internet or hosting services).
